Terms of Service

These Terms of Service ("Terms") govern your use of Open Tools at open-tools.app (the "Service"), operated by NM Technology Services & Solutions (Grupo NMTSS), a company registered in Mozambique, NUIT 112059725 ("Open Tools", "we", "us", "our"). By using the Service — with or without an account — you agree to these Terms. If you do not agree, do not use the Service.

1. The Service — what it is and is not

Open Tools is a free online utility library: PDF tools, image tools, text tools, hash and QR-code generators, and a "QR site" publisher. Most tools can be used anonymously, with no account. Some tools run entirely in your browser (no file leaves your device); others upload a file to be processed on our servers and then return an output. An optional free account adds API keys and job history. Optional paid plans are coming soon but are not yet available — the Service is entirely free today.

Open Tools is a general-purpose utility service provided "as is". It is not a professional, medical, legal, financial, or other regulated advisory service, and its outputs are not a substitute for professional advice. You are responsible for checking that any output is fit for your intended use.

2. Eligibility

You must be at least 18 years old (the age of majority in Mozambique) and able to form a binding contract. The Service is not directed to children (see the Privacy Policy, §Children).

3. Accounts

An account is optional — most tools work without one. If you create an account, you register with an email address and a password. You are responsible for your account credentials and for activity under your account, including any API keys you generate. Keep your credentials and API keys secret; an API key is shown once at creation and cannot be retrieved later. Notify us promptly at support@open-tools.app of any unauthorised use. Provide accurate information and keep it current.

4. Acceptable use

Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms. In short: do not misuse, disrupt, overload, or attempt to circumvent the limits of the Service; do not upload unlawful, infringing, or harmful content; do not use the Service to process content you have no right to process; and do not resell or abuse the API. We may rate-limit, suspend, or terminate access that violates these Terms or the Acceptable Use Policy.

5. Subscriptions and billing

The Service is currently entirely free, and there is no way to purchase a plan today — payment processing is not yet live. Optional paid plans are coming soon. When they launch, they are planned to be billed in US dollars (USD) through PayPal Subscriptions, and are intended to remove ads and raise usage limits and retention (with QR-site Premium features on higher tiers). Any illustrative plan names or prices we may show are planned only and may change before launch; the final plans, prices, billing cycle, and perks will be published at that time.

When paid plans become available, the following terms will apply: subscriptions will auto-renew each billing period until cancelled; you may cancel at any time, effective at the end of the current paid period, keeping access until then; and, except where mandatory consumer law grants a cooling-off or withdrawal right, fees already paid will be non-refundable for partial periods. We will change prices only prospectively, with prior notice; taxes may apply. Cancellation and refund details are in the Refund & Cancellation Policy.

Payment will be processed by PayPal once paid plans launch. At that point we will store your subscription status and a PayPal subscription identifier only — we will not see or store your card or bank details.

6. Intellectual property

The Service, its software, design, branding, and content are owned by Open Tools / NM Technology Services & Solutions or its licensors and are protected by law. You receive a limited, non-exclusive, non-transferable, revocable right to use the Service for your own personal or business purposes in accordance with these Terms. These Terms grant you no rights in our trademarks, logos, or software beyond ordinary use of the Service.

7. Your content and files

You retain all rights to the files and content you submit ("Your Content"). We claim no ownership of it. You grant us only a limited licence to store, process, transmit, and (for a published QR site) host Your Content solely to provide the tool or feature you requested — for example, to convert a file, generate an output, or serve a QR site you publish. This licence ends when the content is deleted under our retention schedule (see the Data Retention Policy), except that a published QR site is hosted until you delete it.

You warrant that you own or have the necessary rights to submit Your Content and to have it processed by the Service, and that doing so does not infringe any third party's rights or violate any law. Files processed by server-side tools are automatically deleted on a short schedule; do not rely on the Service as storage or backup. See the Privacy Policy and Data Retention Policy for exact timings.

8. Third-party tools and links

The Service may link to or integrate third-party services (for example, Ko-fi for optional donations, and Cloudflare Turnstile for bot protection; and, once paid plans launch, PayPal for payments). Those services are governed by their own terms and privacy policies, and we are not responsible for them. Outputs you produce with the Service that you then use on third-party platforms are your responsibility.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, that any output will be accurate or complete, or that files will be preserved. You use the Service and its outputs at your own risk. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you, and nothing here limits rights that cannot be excluded by law.

10. Limitation of liability

To the maximum extent permitted by law, Open Tools / NM Technology Services & Solutions and its suppliers are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or relating to the Service or your use of it. To the maximum extent permitted by law, our total aggregate liability for all claims is limited to the greater of (a) the amount you paid us for the Service in the 12 months before the claim, or (b) USD 100. Nothing excludes liability that cannot be excluded by law (for example, death or personal injury caused by negligence, or fraud).

11. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless Open Tools / NM Technology Services & Solutions and its personnel from any claims, damages, losses, and reasonable costs (including legal fees) arising from Your Content, your use of the Service, or your breach of these Terms or of any law or third-party right.

12. Termination

You may stop using the Service at any time, and you may delete your account and Your Content at any time from account settings (see the Privacy Policy, §Your rights). We may suspend or terminate your access — including for breach of these Terms or the Acceptable Use Policy, to protect the Service or other users, or where required by law. On termination, your right to use the Service ends; sections that by nature should survive (intellectual property, Your content warranties, disclaimers, limitation of liability, indemnity, and governing law) survive.

13. Governing law & disputes

These Terms are governed by the laws of Mozambique. The parties submit to the competent courts of Sofala Province, Mozambique, without prejudice to any mandatory consumer-protection rights you may have in your country of residence. Before any formal action, you agree to first contact us at legal@open-tools.app to seek an informal resolution.

14. Changes to these Terms

We may update these Terms from time to time. For material changes we will update the "Last updated" date and, where reasonable, provide notice in-app or by email. Continued use of the Service after changes take effect means you accept the updated Terms.
